The Justice Department has no problem with vendors reducing their price on
behalf of members of a club, but I am sure the Justice Department would have
a problem if those "notional discounts" were applied to prices that had been
jacked up artificially to keep the club afloat, and only made available to
some consumers and not all, such that some consumers are getting gouged for
the simple fact that they don't belong to some club.

That defines the very act of price fixing and collusion that would be
contrary to anti-trust laws.
