<VV> Transmission Trouble (NO Corvair)

My son is currently driving my old truck at college (since his Corvair 
is so rusty the passenger door is about to fall off) and told me the 
other day that it was grinding whenever he tried to put it into 2nd 
gear. This is a `93 Chevy K2500 with the MT8 (New Process NV4500) 
transmission. My questions are 1) does anyone know where I might get a 
rebuilt or good used one (`92-`95) for less than the value of the 
truck?  2) How difficult is it to rebuild one? Are there any special 
tools needed to do the job?  My son is studying mechanical engineering 
but hasn't gotten into many classes which might be practical in helping 
in doing this (probably never will in engineering school).
