Background:
Per Article VII Section 3 of the CORSA By-Laws: “The CORSA Secretary will be 
the Election Chair and shall oversee the mechanics of the election. In the 
event that the CORSA Secretary is a candidate, the CORSA President shall 
appoint one of the Board of Directors who is not a candidate as the Election 
Chair to oversee the election. Votes received before the ballot deadline 
will be tallied by this election official.”
Concern:
Except in the situation where the CORSA Secretary is among the candidates, 
Article VII puts the incumbent in the position of tallying votes for fellow 
Board members and may present a situation where there is a conflict of 
interest among them.
Proposal:
The Board of Directors proposes to transfer the responsibility for tallying 
votes from the CORSA Board Secretary to the CORSA Executive Secretary. In 
all other respects, the role of the Election Chair will remain unaltered.
